These Terms govern every purchase of the 1-1 Mentorship Program, the Capital Scaling Program and the Group Coaching Program. By purchasing, the Client confirms having read, understood and accepted them in full.

Article 3Scope and order of precedence
3.1These Terms apply to every Order, to the exclusion of any terms of the Client.
3.2Statements made in sales calls, direct messages, advertisements, social media or webinars are not part of the Agreement unless confirmed in writing in the Order or the Offer Breakdown.
3.3In case of conflict, the following order applies: (1) a signed individual agreement, (2) these Terms, (3) the Offer Breakdown.
3.4These Terms are drawn up in English. If a translation is provided, the English version prevails.
Part BFormation and eligibility
Article 4Formation of the Agreement
4.1The Agreement is concluded at the moment the Client completes the Order, by completing checkout, paying the Fee or the first instalment, signing a proposal, or confirming the purchase in writing (including by email or chat).
4.2The Client confirms that all information provided at Order is accurate and complete. Tribe Capital may rely on it.
4.3Tribe Capital may refuse or cancel an Order before the Start Date without giving reasons. Any amount already paid for that Order is then refunded in full.
4.4Before the Order, the checkout shows the main characteristics of the Program, the total price, the term, the right of withdrawal, and the conditions of any guarantee or extension, together with the statements in Annex 2. The order button states that the Order involves an obligation to pay. After the Order, the Client receives by email a confirmation with a PDF of these Terms, the Offer Breakdown, the Order details and the statements the Client ticked, with the date and time.
Article 5Eligibility
5.1The Client must be at least 18 years old and have full legal capacity.
5.2The Client is solely responsible for ensuring that taking part in a Program, trading financial markets and using any Third-Party Provider is lawful in the Client's country of residence.
5.3A Program is personal. It cannot be transferred, shared, resold or assigned without Tribe Capital's prior written consent.
5.4The Capital Scaling Program is intended for traders who already have trading experience and a demonstrable track record. The Client confirms meeting this profile. Tribe Capital does not verify this before the Order and is not liable if the Client does not meet it.
Article 6Consumers and Business Clients
6.1The Client states at Order whether the purchase is made as a Consumer or as a Business Client. A purchase invoiced to a company, sole proprietorship or VAT number is a purchase as a Business Client.
6.2Provisions that refer to Consumers apply to Consumers only. Business Clients have no right of withdrawal and no rights under consumer protection law.
6.3Nothing in these Terms limits rights that a Consumer has under mandatory law, including the statutory rights that apply if Digital Content or Services do not conform to the Agreement. Any exclusion or limitation in these Terms applies to Consumers only to the extent the law permits. Where a provision cannot be applied to a Consumer, the rest of these Terms remains in force.
Part CThe 1-1 Mentorship Program
Article 7What the 1-1 Program includes
7.1The 1-1 Program runs for 180 days from the Start Date (the "Initial Term").
7.2During the Initial Term the Client receives:
- unlimited 1-on-1 calls with an Educator, with a maximum of one call of up to 60 minutes per day, subject to booking availability and Article 12;
- direct 1-on-1 chat access to an Educator;
- the A–Z roadmap of the QPA Strategy and of the Trading Identity Framework;
- access to live trades, live group calls and streams, and their recordings and transcripts;
- access to the custom trading journal and the Platform, including onboarding, the student homepage and leaderboards;
- one BrightFunded $25,000 challenge, subject to Article 9.
7.3Tribe Capital may change Educators, schedules, tools, platforms, curriculum content and Platform features, provided the overall nature and value of the Program is not materially reduced.
7.4Leaderboard prizes are discretionary. Tribe Capital sets the rules, may change or end the leaderboard at any time, and may disqualify a Client for manipulation or breach of these Terms. Prizes have no cash alternative unless Tribe Capital states otherwise.
7.5The Client's obligations are to: complete onboarding, follow the curriculum in the order given, attend booked sessions on time, record every trade in the trading journal, apply the risk rules given by the Educator, and respond to the Educator within 7 days.
Article 8Profitability Support Extension
8.1No profit is promised. Tribe Capital does not promise that the Client will make any trading profit. This Article gives the Client a right to continued guidance under the conditions below. It does not promise a result and it does not give a right to a refund.
8.2The Extension. If the Client has not achieved two consecutive Profitable Months during the Initial Term, and has met the participation criteria in Article 8.5, Tribe Capital continues to provide 1-on-1 guidance and Platform access at no additional fee until the Client achieves two consecutive Profitable Months (the "Profitability Support Extension" or "Extension").
8.3Not a cash refund. The Extension is the only remedy if two consecutive Profitable Months are not achieved. It does not give a right to a refund, discount or compensation. This does not affect a Consumer's statutory rights under Article 6.3.
8.4How a Profitable Month is measured.
- Measurement period: a calendar month, from its first to its last day, falling within the Initial Term or the Extension. Two Profitable Months are consecutive if they are adjacent calendar months.
- Accounts: one or more trading accounts in the Client's own name that the Client designates in writing before the month starts (the "Designated Accounts"). These may be personal live accounts, demo accounts, or prop firm challenge or funded accounts. The designation can be changed with effect from the next calendar month. All trades on a Designated Account count, including losing trades.
- Net result: the total realised profit and loss of all trades closed during the month on the Designated Accounts, after commissions, fees charged per trade, and swap or financing costs. Positions still open at the end of the month are not counted.
- Profitable Month: a month in which the net result is above zero in the account currency. The size of the profit does not matter.
- Evidence: the monthly account statements issued by the broker or prop firm for the Designated Accounts, together with the trading journal records. Screenshots alone are not sufficient evidence.
8.5Participation criteria. The Extension applies if the Client, during the Initial Term:
- has paid all amounts due, at the latest within the period set in Article 14.3;
- has completed all curriculum modules of the QPA Strategy and the Trading Identity Framework made available on the Platform;
- has attended at least two 1-on-1 calls per calendar month, unless Tribe Capital could not offer two available slots in that month;
- has recorded every trade on the Designated Accounts in the trading journal within 48 hours;
- has placed at least 10 trades per calendar month on the Designated Accounts;
- has not exceeded the maximum risk per trade and per day set in writing by the Educator;
- has not used copy trading, signals, automated trading or third parties to trade the Designated Accounts.
8.6Warning and cure. If Tribe Capital considers that a participation criterion was not met in a month, it informs the Client in writing within 14 days after the end of that month, stating which criterion and why. The Client then has 14 days to remedy it where this is possible, for example by completing missing journal entries or modules, or by booking a missed call in the following month. A failure that has been remedied in time does not count.
8.7Assessment and disputes. At the end of the Initial Term, Tribe Capital assesses on the basis of the evidence in Article 8.4 whether the Client qualifies for the Extension, and informs the Client of its reasoned decision in writing within 14 days. The Client may object in writing within 14 days, with supporting evidence. Tribe Capital then reconsiders and replies in writing within 14 days. If the disagreement remains, Articles 33 and 34 apply.
8.8End of the Extension. The Extension ends when:
- (a) the Client has achieved two consecutive Profitable Months;
- (b) the Client has been inactive for 30 consecutive days, meaning no booked session and no journalled trade, and does not resume activity within 14 days after a written warning from Tribe Capital;
- (c) the Client does not meet a participation criterion during the Extension and does not remedy it within the cure period of Article 8.6; or
- (d) the Agreement is terminated under Article 25.
8.9The Extension covers 1-on-1 guidance and Platform access on the same terms as the Initial Term, including Article 12. It does not include a further BrightFunded challenge or any other bonus.
Article 9BrightFunded challenge
9.1The challenge is a bonus. It is issued by BrightFunded, an independent Third-Party Provider, under BrightFunded's own terms, rules, eligibility and identity checks. Tribe Capital has no control over these.
9.2The challenge is issued on request once the Client has completed onboarding and the Withdrawal Period of Article 16 has expired. It must be requested during the Initial Term, otherwise it lapses.
9.3One challenge per Client. It has no cash value, cannot be exchanged, transferred or carried over, and is not replaced if failed, breached, expired or refused by BrightFunded.
9.4Tribe Capital is not liable for acts of BrightFunded, including rule changes, account breaches, refused payouts, suspension, insolvency or discontinuation. If BrightFunded cannot or will not issue the challenge, Tribe Capital may at its choice provide a comparable challenge from another provider or a credit of equivalent retail value. No refund of the Fee is due.
Part DThe Capital Scaling Program
Article 10What the Capital Scaling Program includes
10.1The Capital Scaling Program is a coaching and preparation program. Tribe Capital helps the Client improve trading performance, build a verifiable track record and prepare to present it to third parties.
10.2The Client receives:
- unlimited 1-on-1 sessions to review trades, refine strategy and analyse performance, with a maximum of one session of up to 60 minutes per day, subject to booking availability and Article 12;
- guidance in preparing and presenting a trading track record;
- help in compiling trade statistics, performance and risk metrics, a journal and a performance report (the "Track Record Materials");
- access to live trades, live group calls and streams, and their recordings and transcripts;
- access to the trading journal, analytics and the Platform;
- access to the private trader network (the Tribe Trading Team), subject to Article 24.
10.3Term. The Program starts on the Start Date and ends on the earliest of: (a) the Client's first capital allocation by a Third-Party Provider; (b) 24 months after the Start Date or, if later, the end of an Allocation Period under Article 11A that is running at that moment; or (c) termination under Article 25. This end date applies in addition to any description of the Program as running "until first allocation". If the Client is inactive for 60 consecutive days, meaning no booked session and no journalled trade, Tribe Capital may warn the Client in writing; the Program then ends if the Client does not resume activity within 14 days after that warning.
10.4The Track Record Materials are based entirely on data supplied by the Client or the Client's broker or platform. "Verified" and "verification" mean that Tribe Capital has compared the figures against the source data supplied. It is not an audit, an assurance report or a certification, and Tribe Capital does not warrant the accuracy of the underlying data.
10.5The Client warrants that all trading data supplied is genuine, complete and unaltered. Supplying false or manipulated data is a material breach and leads to immediate termination without refund.
10.6The Client may not present Track Record Materials to anyone as audited, certified, endorsed or guaranteed by Tribe Capital.
Article 11Capital allocation: no guarantee and third parties
11.1Tribe Capital does not guarantee that the Client will receive any capital allocation, of any amount, at any time. Its only commitment in this respect is the refund under the Capital Allocation Guarantee in Article 11A. Tribe Capital makes no statement about the size of any allocation the Client may receive; any amount is set by the Third-Party Provider.
11.2Any allocation is decided solely by the independent allocator, fund or investors concerned, at their own discretion, on their own criteria, due diligence and identity checks. Tribe Capital has no decision-making power and no influence on the outcome.
11.3Tribe Capital does not itself raise, hold, manage, invest or allocate capital. It is not a party to any agreement between the Client and an allocator, fund or investor. The terms of any allocation, including profit share, risk limits, drawdown limits, fees, lock-ups and termination, are set by that Third-Party Provider and may differ from any general description given by Tribe Capital.
11.4Descriptions of how the allocation structure differs from prop firms are general and indicative. The Third-Party Provider may apply its own risk rules, limits and conditions and may change them at any time.
11.5Tribe Capital's role is limited to education, coaching and, where appropriate, a non-binding introduction. Tribe Capital may decline to make an introduction if it reasonably considers that the Client's track record, conduct or risk profile is not suitable.
11.6The Client is solely responsible for obtaining independent legal, tax and regulatory advice before entering into any arrangement with a Third-Party Provider, and for holding any licence, registration or exemption required to trade or manage third-party capital in any jurisdiction.
11.7Tribe Capital is not liable for any act or omission of a Third-Party Provider, including refusal, delay, reduction or withdrawal of an allocation, changes in terms, non-payment of profit share, or insolvency.
11.8Except as provided in Article 11A, the absence, delay, size or loss of an allocation never gives a right to a refund, discount or compensation.
Article 11ACapital Allocation Guarantee
11A.1Qualification Criteria. The Qualification Criteria are objective, measurable trading metrics with exact values, such as a minimum track record length, a maximum drawdown and a minimum return (the "Qualification Criteria"). They are agreed in writing in the Order or in a written addendum, at the latest 30 days after the Start Date. Without written Qualification Criteria this Article does not apply.
11A.2Qualification Date. The Client qualifies on the date Tribe Capital confirms in writing that the Client's track record meets all Qualification Criteria, on the basis of broker or prop firm statements and the trading journal (the "Qualification Date"). The Client may request an assessment at any time. Tribe Capital decides within 14 days and gives written reasons if it decides that the Client does not qualify.
11A.3The guarantee. From the Qualification Date a period of six months runs (the "Allocation Period"). If no Qualifying Allocation is made within the Allocation Period, Tribe Capital refunds the amounts set out in Article 11A.8 (the "Capital Allocation Guarantee").
11A.4Qualifying Allocation. A "Qualifying Allocation" exists when one or more Third-Party Providers have, within the Allocation Period, signed a written allocation agreement with the Client, or issued a written commitment that is binding on them, under which a total of at least €200,000, or the equivalent in another currency at the European Central Bank reference rate on that date, is made available for the Client to trade. The agreement or commitment may be subject only to the Client's acceptance and to the provider's standard identity and compliance checks. A non-binding indication, an expression of interest, or an offer that still requires further approval by the provider does not count. A Qualifying Allocation that the Client declines or does not accept within 14 days still counts as made.
11A.5Maintaining the Qualification Criteria. The Client must continue to meet the Qualification Criteria during the Allocation Period, measured at the end of each calendar month on the basis of the statements and journal referred to in Article 11A.2. Only the criteria agreed under Article 11A.1 count. If a criterion is not met at the end of a month, Tribe Capital informs the Client in writing within 14 days, stating which criterion and why. The Allocation Period is then suspended and the Client has 30 days to meet the criteria again. If the Client does so, the Allocation Period resumes for the time that remained. If not, the Capital Allocation Guarantee lapses, and a new Allocation Period of six months starts if the Client later qualifies again under Article 11A.2.
11A.6Further conditions. The Capital Allocation Guarantee also requires that the Client, during the Allocation Period:
- pays all amounts due, at the latest within the period set in Article 14.3;
- records every trade in the trading journal within 48 hours and provides monthly account statements on request;
- supplies only genuine, complete and unaltered trading data;
- provides the documents a Third-Party Provider requests for its identity and compliance checks within 14 days after the request;
- is legally permitted, in the country of residence, to enter into an allocation agreement.
If a condition that can be remedied is not met, Tribe Capital informs the Client in writing and the Client has 14 days to remedy it. Supplying false or manipulated data cannot be remedied and ends the Capital Allocation Guarantee.
11A.7Claiming the refund. If no Qualifying Allocation has been made by the end of the Allocation Period and the conditions of this Article have been met, the Client may claim the refund in writing at info@thetribecapital.com within 30 days after the end of the Allocation Period. Tribe Capital pays the refund within 30 days after receiving the claim.
11A.8What is refunded. The refund covers all amounts the Client paid to Tribe Capital for the Capital Scaling Program, including any Milestone Payment. It excludes only third-party costs that are separately identified, with their amount, in the Order. It does not cover trading losses or other costs or damage. No interest is due.
11A.9Effect of the refund. On payment of the refund the Agreement and all access end. Without prejudice to a Consumer's statutory rights, the refund is the remedy for not obtaining a Qualifying Allocation.
11A.10Limits. The Capital Allocation Guarantee is a refund commitment by Tribe Capital. It is not a promise that capital will be allocated, and not a guarantee of the terms, duration or continuation of an allocation, or of any trading result or income. Every allocation remains a decision of independent Third-Party Providers under Articles 11.2 and 11.3. A reduction or withdrawal of an allocation after a Qualifying Allocation has been made gives no right to a refund.
Part D2The Group Coaching Program
Article 11BWhat the Group Coaching Program includes
11B.1The Group Coaching Program gives the Client access to:
- the A–Z video course of the QPA Strategy, with quizzes and homework assignments;
- the homework bot, which generates homework assignments on QPA Strategy concepts at any time, for the Client to submit to the coaches for feedback;
- a private chat with the group coaches;
- the community chat, where clients share charts, ask questions and receive feedback;
- live group coaching calls, planned five to seven times per week;
- a quiz and a podcast, at the frequency stated in the Offer Breakdown;
- the live trading channels;
- the investment section.
11B.2Private chat. The Client can send messages to the coaches at any time. The coaches answer as soon as reasonably possible, normally within 24 hours. The private chat is not for trade signals or personal investment advice.
11B.3Live group calls. Tribe Capital sets the schedule for the live group calls. In weeks with holidays or market closures there may be fewer calls; Tribe Capital announces this in advance where possible. A call that Tribe Capital cancels is replaced where reasonably possible. Live group calls are recorded as described in Article 30.2.
11B.4Live trading channels and investment section. These show trades and a long-term portfolio of Tribe Capital or its coaches, with the reasoning behind them, for education and as proof of concept. They are not signals, not investment advice, and not portfolio management for the Client. Tribe Capital does not manage the Client's funds. A Client who copies a trade or allocation does so on their own decision and at their own risk. Articles 19 and 20 apply in full.
11B.5Homework bot. The homework bot is an automated tool. Its assignments are a learning aid and may contain errors. Feedback on submitted homework is given by the coaches.
11B.6Coaches. The coaches named in the Offer Breakdown may change under Article 7.3.
11B.7Not included. Unless the Order states otherwise, the Group Coaching Program does not include 1-on-1 calls, a BrightFunded challenge, the Profitability Support Extension or the Capital Allocation Guarantee.
Article 11CTerm, renewal and cancellation of Group Coaching
11C.1The Group Coaching Program runs for the term stated in the Order.
11C.2Fixed term. If the Order is for a fixed term, access ends at the end of that term. It does not renew automatically.
11C.3Recurring membership. If the Order is for a recurring membership, such as monthly, it renews automatically for the same period until it is cancelled. The Client can cancel at any time, online through the checkout platform account or by email to info@thetribecapital.com. Cancellation takes effect at the end of the period already paid; no partial refund is given for that period. For Consumers, a membership that has renewed after an initial fixed term can always be cancelled with a notice period of no more than one month.
11C.4Price changes. Tribe Capital may change the price of a recurring membership with effect from a next period, after notifying the Client by email at least 30 days in advance. The Client may cancel before the change takes effect.
11C.5The statutory right of withdrawal in Article 16 applies to the first Order of a membership.
Part ESessions and availability (both Programs)
Article 12Sessions and availability
12.1There is no limit on the total number of 1-on-1 calls during the Program. The Client may book one call per day, of up to 60 minutes, subject to booking availability. This Article applies to the 1-1 Mentorship Program and the Capital Scaling Program; the Group Coaching Program does not include 1-on-1 calls unless the Order states otherwise.
12.2Calls are booked through the system Tribe Capital designates. A call the Client cancels less than 24 hours in advance, or for which the Client is more than 10 minutes late, counts as held.
12.3Chat messages are answered within a reasonable time on business days. Chat access is not a real-time or 24/7 service and is not for trade signals.
12.4Live group sessions take place on a schedule set by Tribe Capital, which may change. A missed live session is not rescheduled; the recording on the Platform takes its place.
12.5If Tribe Capital cancels or reschedules a booked 1-on-1 call, or a call cannot take place because of a technical problem on Tribe Capital's side, the Client receives a replacement call within 14 days, in addition to the daily maximum.
12.6Services are delivered online, in English or Dutch. The Client arranges and pays for their own equipment, internet, trading accounts, data and software.
12.7Tribe Capital performs the Services with reasonable care and skill. This is an obligation of effort, not of result.
Part FFees and payment
Article 13Fees
13.1The Fee is the amount stated in the Order. For Consumers it includes VAT. For Business Clients it excludes VAT unless stated otherwise.
13.2The Fee is due in full at Order, unless a payment plan has been agreed in writing.
13.3The Fee is payable for access to the Program and for the capacity Tribe Capital reserves for the Client. It is owed regardless of whether and how much the Client uses the Program, and regardless of the Client's trading results.
13.4Payment processor fees, bank charges, currency conversion costs and local taxes are for the Client's account.
13.5The Client may not suspend payment or set off any claim against the Fee. For Consumers this applies to the extent permitted by law.
13.6Milestone Payment. Where the Order includes a performance-based payment (a "Milestone Payment"), it becomes due as soon as the Client reaches the profit target or milestone stated in the Order, on any account. The Client reports this to Tribe Capital within 7 days and provides account statements on request. If the Client fails to report or to provide statements within 14 days after a written request, the milestone is deemed reached and the Milestone Payment is due. A Milestone Payment is non-refundable once due, also if later results are negative.
Article 14Payment plans and late payment
14.1A payment plan is a deferred payment of the full Fee. It is not a subscription and cannot be cancelled. All instalments remain due if the Client stops using the Program, becomes inactive, or has access suspended or terminated under Article 25.
14.2The Client authorises Tribe Capital and its payment processor to charge each instalment automatically on its due date, and keeps a valid payment method on file.
14.3If an instalment fails, Tribe Capital sends a reminder. If it remains unpaid 7 days after the reminder, Tribe Capital may suspend all access and Services until payment is made. Suspension does not extend the Program term.
14.4If an instalment remains unpaid 14 days after a written notice of default, all remaining instalments become immediately due and payable.
14.5A Consumer in default owes statutory interest and, after a written reminder giving a further 14 days to pay, extrajudicial collection costs at the statutory rates. A Business Client in default owes statutory commercial interest and collection costs of 15% of the outstanding amount, with a minimum of €250, without prior notice being required.
Article 15Chargebacks and payment disputes
15.1If the Client has a complaint about a payment, we ask the Client to contact Tribe Capital first at info@thetribecapital.com, so that it can be resolved quickly. This does not limit the Client's right to dispute a payment with their bank, card issuer or payment provider.
15.2A chargeback or payment dispute that is legally justified is not a breach of the Agreement. If the Client starts a chargeback or payment dispute without a valid legal ground for an amount that is owed under the Agreement, Tribe Capital may suspend access until the dispute has been resolved, and the amount remains owed.
15.3Tribe Capital may submit to the bank, card issuer or payment processor the evidence needed to respond to a dispute, including these Terms, the Client's acceptance records, access logs, session records and communications.
15.4In the case of a chargeback without valid legal ground, the Client reimburses the chargeback fees charged to Tribe Capital and reasonable costs of recovery, to the extent permitted by law.
Part GWithdrawal and refunds
Summary: all sales are final. The only exceptions are the statutory 14-day right of withdrawal for Consumers in Article 16, with the deductions set out there, and the Capital Allocation Guarantee in Article 11A. There is no refund for lack of results, lack of use or change of mind.
Article 16Statutory right of withdrawal (Consumers only)
16.1A Consumer who purchased at a distance (online, by phone, chat or video call) may withdraw from the Agreement without giving reasons within 14 days after the day on which the Agreement was concluded (the "Withdrawal Period").
16.2Immediate start. Programs start immediately after the Order. By ticking the relevant boxes at Order (Annex 2), the Consumer expressly requests that Tribe Capital begins supplying the Digital Content and the Services during the Withdrawal Period.
16.3Digital Content. The Consumer expressly consents to the supply of Digital Content beginning during the Withdrawal Period and acknowledges that the right of withdrawal is thereby lost for the Digital Content as soon as access has been provided. Tribe Capital confirms this consent and acknowledgement in the Order confirmation.
16.4Services. A Consumer who withdraws during the Withdrawal Period after having requested an immediate start pays Tribe Capital an amount proportionate to the Services supplied up to the moment of withdrawal. Once Services have been fully performed, the right of withdrawal for them is lost.
16.5Calculation. For Services, Tribe Capital charges only the proportionate amount for the part of the Services actually supplied before the withdrawal, calculated by reference to the total price and the objectively identifiable Services supplied, such as 1-on-1 calls held and the days of access to live sessions and chat. Tribe Capital does not charge for Digital Content under this calculation. An amount for Digital Content is payable only where the statutory conditions for loss of the right of withdrawal have been met and the price allocated to that content was disclosed before the Order was placed. Tribe Capital records the Services supplied and gives the Consumer the calculation on request. No amount is charged for the BrightFunded challenge, which is only issued after the Withdrawal Period (Article 9.2).
16.6How to withdraw. The Consumer sends an unambiguous written statement to info@thetribecapital.com before the Withdrawal Period ends. The model form in Annex 1 may be used but is not required. Not logging in, not attending, blocking a payment or starting a chargeback is not a withdrawal.
16.7Tribe Capital confirms receipt and pays any refund due within 14 days after receiving the withdrawal, using the original payment method. All access ends on receipt of the withdrawal.
16.8A Consumer who withdraws before the Start Date receives a full refund.
16.9After the Withdrawal Period has ended there is no right of withdrawal. Business Clients have no right of withdrawal at any time.
Article 17Refund policy
17.1Apart from Article 11A, Article 16 and Article 17.5, all Fees are non-refundable and all sales are final, whether the Fee was paid in full or by payment plan.
17.2In particular, no refund, partial refund, credit, discount, pause or release from remaining instalments is given because:
- the Client changes their mind or loses interest;
- the Client lacks time, money, motivation or suitable personal circumstances, including illness, job changes, relocation or family events;
- the Client does not log in, attend sessions, complete the curriculum or otherwise use the Program;
- the Client is dissatisfied with trading results, makes losses, or is not profitable;
- the Client has not achieved two consecutive Profitable Months, as the only remedy is the Profitability Support Extension under Article 8;
- the Client fails, breaches or is refused a prop firm challenge or funded account;
- the Client receives no capital allocation, a smaller or later allocation than hoped, or loses an allocation, other than under Article 11A;
- a Third-Party Provider changes its terms, pricing, rules or availability;
- the Client disagrees with the teaching style, strategy, Educator or market views;
- an Educator, schedule, tool or Platform feature is changed under Article 7.3;
- the Client's access is suspended or terminated under Article 25;
- the Client is or becomes unable to trade lawfully or to open accounts in their country of residence;
- the Client relied on a statement that is not part of the Agreement under Article 3.2.
17.3The Client acknowledges that the Fee was set on the basis of this refund policy and that Tribe Capital reserves Educator capacity for the Client from the Start Date.
17.4If Tribe Capital, at its sole discretion, grants a refund, pause or other arrangement as a goodwill gesture, this is a one-off. It creates no right for that Client or for anyone else, and Tribe Capital may make it subject to a signed settlement and confidentiality agreement.
17.5If Tribe Capital permanently stops providing a Program before the end of its term for reasons not attributable to the Client, the Client receives a pro rata refund of the Fee for the remaining period. This is the Client's sole remedy in that case.
17.6This Article does not limit a Consumer's mandatory statutory rights, including the rights that apply if Tribe Capital fails to perform the Agreement or if the Digital Content or Services do not conform to the Agreement.
Article 18Refund requests
18.1Every refund request is made in writing to info@thetribecapital.com, stating the Client's full name, Order details and the ground relied on. Requests made by call, voice note, direct message to an Educator or in community channels are not valid.
18.2Tribe Capital responds within 14 days. Payment obligations continue while a request is pending.
18.3Any approved refund is paid to the original payment method. On refund, all access, licences, bonuses and community memberships end immediately and the Client deletes all downloaded materials.
Part HEducation only, risk and results
Article 19Education only, no financial advice
19.1Everything Tribe Capital and its Educators provide is general education and coaching. This includes strategies, roadmaps, live trades, chart analysis, trade reviews, market views and answers to questions in calls, chat and community channels.
19.2Nothing provided is investment advice, a personal recommendation, a trading signal, portfolio management, an offer or a solicitation to buy or sell any financial instrument, crypto-asset or other product.
19.3Live trades and trade ideas show what an Educator does or would do on their own account, for teaching purposes. They are not instructions to the Client. Tribe Capital does not take the Client's financial situation, objectives or risk tolerance into account.
19.4Feedback on the Client's own trades is educational feedback on method and execution. It is not advice to enter, hold or exit any position.
19.5Tribe Capital and its Educators never trade on the Client's behalf, never hold Client funds and never have access to Client accounts beyond read-only access for review purposes.
19.6Educators and Tribe Capital may hold positions in instruments discussed, and may trade differently from what is shown or discussed.
Article 20Risk disclosure
20.1Trading forex, CFDs, futures, crypto-assets, indices and other leveraged products carries a high risk of loss. The Client can lose all capital invested and, depending on the product and broker, more than that.
20.2Most retail traders lose money. Past performance, whether of Tribe Capital, its Educators or other clients, does not predict future results.
20.3The Client makes every trading decision independently and bears sole responsibility for every result, including losses, fees, taxes and the consequences of using leverage.
20.4The Client should trade only with money they can afford to lose and should obtain independent financial, legal and tax advice where needed.
20.5The Client is solely responsible for choosing brokers, exchanges, prop firms and platforms, for complying with their terms, and for all tax and reporting obligations on their trading results.
Article 21No guarantee of results
21.1Tribe Capital does not guarantee that the Client will make a profit, earn any income, pass any challenge, obtain funding, receive a capital allocation or achieve any other result. The only commitments regarding results are the Profitability Support Extension and the Capital Allocation Guarantee, strictly as defined and limited in Articles 8 and 11A.
21.2Results shown in marketing, testimonials, case studies, leaderboards or live sessions are individual results. They are not typical and are not a promise.
21.3The Client's results depend on factors outside Tribe Capital's control, including the Client's effort, discipline, capital, psychology, execution and market conditions.
Part IIntellectual property, confidentiality and conduct
Article 22Intellectual property
22.1All intellectual property rights in the Programs belong to Tribe Capital or its licensors. This covers the QPA Strategy, the Trading Identity Framework, all roadmaps, course materials, recordings, transcripts, templates, the trading journal, software, branding and community content.
22.2The Client receives a personal, non-exclusive, non-transferable, revocable licence to use the Digital Content for their own trading education, for as long as the Client has access under the Agreement.
22.3The Client may not copy, record, screen-capture, download (other than where a download function is offered), share, publish, resell, sublicense, translate or distribute any part of a Program. The Client may not use it to create, deliver or promote a competing course, community, signal service, mentorship or software, or to train any AI model.
22.4The Client may not share login details or give any other person access to the Platform, sessions or community.
22.5Tribe Capital may add visible or invisible identifiers to content and monitor access patterns to detect unauthorised sharing.
Article 23Confidentiality and non-sharing penalty
23.1The content of the Programs, including strategies, methods, materials, session content and information about the capital allocation network and its participants, is confidential. The Client keeps it confidential during the Agreement and for 5 years afterwards.
23.2Personal and trading information of other clients, shared in group sessions or the community, is confidential and may not be shared outside it.
23.3A Business Client who breaches Article 22.3, 22.4 or 23.1 owes Tribe Capital an immediately payable penalty of €10,000, plus €500 for each day the breach continues after written notice, with a maximum of €50,000 in total per breach. A continuing breach counts as one breach. Where Tribe Capital's actual damage is higher, it may claim that damage instead of the penalty; any penalty already paid is then deducted, so that the same damage is never compensated twice.
23.4A Consumer who breaches Article 22.3, 22.4 or 23.1 is liable for all damage Tribe Capital suffers as a result, including lost revenue and reasonable legal costs.
Article 24Conduct
24.1The Client behaves respectfully towards Educators, staff and other clients, in sessions and in every community channel.
24.2The following are prohibited: harassment, threats, discrimination, spam, advertising or recruiting for other products or services, soliciting money or investments from other clients, offering signals or account management, sharing unlawful content, and attempts to circumvent Platform security.
24.3The Client may not publish false or misleading statements about Tribe Capital or its Educators. This does not restrict honest reviews based on the Client's own experience.
24.4The Client may not approach any allocator, fund, investor or other party introduced through Tribe Capital in a way that bypasses Tribe Capital, or misrepresent their relationship with Tribe Capital to any third party.
24.5Community channels on third-party platforms are also subject to that platform's rules. Tribe Capital is not liable for content posted by other clients.
Article 25Suspension and termination
25.1The Agreement ends when the Program term ends under Article 7, 8, 10 or 11C. The Client has no right to terminate early, other than under Article 16, under Article 11C for a Group Coaching membership, or under mandatory law.
25.2Tribe Capital may suspend access or terminate the Agreement with immediate effect, by written notice, if the Client:
- fails to pay on time, after the reminder referred to in Article 14.3;
- breaches Article 10.5, 22, 23 or 24, or starts a chargeback without valid legal ground as described in Article 15.2;
- otherwise materially breaches these Terms and, where the breach can be remedied, does not remedy it within 7 days after notice;
- provided false information at Order;
- is declared bankrupt, is granted suspension of payments or enters debt restructuring.
25.3On termination under Article 25.2, all access ends, no refund is due, and all unpaid instalments become immediately payable.
25.4On any ending of the Agreement, access to the Platform, journal, recordings, community and private network ends, unless Tribe Capital states otherwise in writing. The Client is responsible for exporting their own journal data before that date.
25.5Articles 13 to 15, 17 and 19 to 35 continue to apply after the Agreement ends.
Part JLiability
Article 26Limitation of liability
26.1To the extent permitted by law, Tribe Capital is not liable for trading losses, lost profits, missed opportunities, failed or breached challenges, lost funded accounts, or any other financial result of the Client's own trading or investment decisions.
26.2To the extent permitted by law, Tribe Capital is not liable for indirect or consequential damage, including loss of income, loss of data and reputational damage.
26.3To the extent permitted by law, Tribe Capital's total liability under or in connection with the Agreement is limited to the Fee actually paid by the Client for the Program concerned in the 12 months before the event causing the damage.
26.4The limitations in this Article do not apply to damage caused by intent or gross negligence of Tribe Capital or its management. They do not affect a Consumer's statutory remedies if Digital Content or Services do not conform to the Agreement, including repair, price reduction, termination and refund, or any other liability that cannot be limited by law.
26.5A Business Client must report any claim in writing within 60 days after discovering the damage, and the claim lapses 12 months after the event that caused it. For Consumers, the statutory notification and limitation periods apply.
26.6Educators and other persons engaged by Tribe Capital may rely on this Article as if they were party to the Agreement, to the extent permitted by law.
Article 27Indemnity
27.1The Client indemnifies Tribe Capital against claims by third parties, including other clients, Third-Party Providers, investors and authorities, arising from the Client's trading, the Client's breach of these Terms or of the law, or false or incomplete data supplied by the Client, including in Track Record Materials.
27.2For Consumers, Article 27.1 applies to the extent the claim results from a breach attributable to the Consumer.
Article 28Force majeure
28.1Tribe Capital is not liable for failure or delay caused by events outside its reasonable control. These include illness or unavailability of an Educator, outages of internet, power, platforms or payment providers, cyber incidents, market closures, government measures, and failure or changes by Third-Party Providers.
28.2During such an event Tribe Capital's obligations are suspended and the Program term is extended by the same period where reasonably possible.
Article 29Third-party platforms and providers
29.1The Programs rely on third-party services for checkout, payments, course hosting, community, video calls and tools. The Client's use of them is subject to their own terms and privacy policies.
29.2Tribe Capital may replace any third-party service with a comparable one at any time. Tribe Capital is not liable for outages, data loss, account restrictions or policy changes of third-party services.
29.3Where checkout is handled by a third-party platform, these Terms govern the relationship between the Client and Tribe Capital. A refund policy or dispute procedure of that platform does not give the Client more rights against Tribe Capital than these Terms and mandatory law provide.
29.4Tribe Capital may receive commissions or other benefits from Third-Party Providers it mentions or introduces, including prop firms and brokers. Any mention is not a recommendation, and the Client carries out their own checks before using a Third-Party Provider.
Part KGeneral provisions
Article 30Privacy and recordings
30.1Tribe Capital processes personal data in line with the GDPR and its privacy policy, available at www.thetribecapital.com.
30.2Live group sessions are recorded and transcribed for education and quality purposes. 1-on-1 sessions are not recorded. The Client is told at the start of each group session that it is recorded. Group recordings are available only to clients with Platform access, for up to 24 months after the session, after which they are deleted or anonymised. A Client who does not wish to be identifiable may join with camera and microphone off and an anonymous display name, and ask questions in writing in the session chat; these are answered in the session in the same way as spoken questions. The Client may ask Tribe Capital to remove or mask identifiable parts of a recording.
30.3Trading data the Client enters in the journal or shares for review is used to deliver the Program, to calculate statistics and leaderboards, and, in aggregated and anonymised form, to improve the Programs.
30.4For the Capital Scaling Program, Tribe Capital shares the Client's Track Record Materials and contact details with a Third-Party Provider only at the Client's request for a specific introduction. The Client decides per introduction and may stop future sharing at any time.
30.5Tribe Capital keeps records of Orders, acceptance of these Terms, access logs, session attendance and communications for as long as needed to perform the Agreement and to establish or defend legal claims.
Article 31Testimonials and results
31.1Tribe Capital may use the Client's trading results and feedback in anonymised form for marketing.
31.2Testimonials and reviews. Content the Client posts in a testimonial or review section of the Platform or community, such as a dedicated Discord channel, may be used by Tribe Capital free of charge in its marketing, including on its website, social media and advertisements. This covers the text, screenshots of results, images and video posted, and the name or display name shown with them. By posting in such a section, the Client agrees to this use. Each testimonial or review section states this clearly.
31.3Removal on request. The Client may ask at any time, without giving a reason, for a testimonial or review to no longer be used. The Client can do this by email to info@thetribecapital.com, by a message on Discord, or through any other channel the Client uses to communicate with Tribe Capital. Tribe Capital then removes it from its own website, social media accounts and advertisements within 14 days and does not use it again. Copies already shared by third parties before the request cannot always be recalled.
31.4Tribe Capital uses the Client's name, image, voice or identifiable results from other sources, such as a group call or private chat, only with the Client's separate consent, which the Client may withdraw for future use at any time in the same way.
31.5Tribe Capital publishes testimonials only as genuine experiences of the clients concerned. It does not edit them in a way that changes their meaning and, where a testimonial was given in exchange for a benefit, says so.
Article 32Changes to these Terms
32.1Tribe Capital may amend these Terms. The version in force on the Order date applies to that Order.
32.2Amendments apply to an existing Agreement only if they are required by law, are not to the Client's disadvantage, or have been notified to the Client by email at least 30 days in advance. A Consumer who does not accept a notified amendment that is materially to their disadvantage may terminate the Agreement before it takes effect, with a pro rata refund for the remaining part of the Program term.
Article 33Complaints
33.1Complaints are sent to info@thetribecapital.com, clearly described, within 30 days after the Client discovers the issue.
33.2Tribe Capital replies within 14 days. If more time is needed, it confirms receipt within that period and indicates when a substantive answer follows.
33.3The parties first try to resolve any dispute in good faith between them before taking any other step, including a payment dispute under Article 15.
Article 34Governing law and jurisdiction
34.1The Agreement and all non-contractual obligations connected with it are governed by Dutch law. The Vienna Sales Convention (CISG) does not apply.
34.2A Consumer resident in another country of the European Economic Area keeps the protection of the mandatory consumer law of that country.
34.3Disputes with Business Clients are submitted exclusively to the competent court of Amsterdam, the Netherlands.
34.4Disputes with Consumers are submitted to the court that has jurisdiction under the law.
Article 35Final provisions
35.1If any provision is void, voidable or unenforceable, the other provisions remain in full force. The provision concerned is replaced by a valid one that comes as close as possible to its purpose.
35.2The Agreement contains everything agreed between the parties about the Program and replaces all earlier statements, proposals and arrangements.
35.3Changes and additions to the Agreement are valid only if confirmed in writing by Tribe Capital. Educators and sales representatives have no authority to make promises that depart from these Terms.
35.4If Tribe Capital does not enforce a right, or makes an exception once, this is not a waiver of that right.
35.5Tribe Capital may transfer the Agreement to a group company or to a successor of its business. The Client may not transfer rights or obligations under the Agreement.
35.6Email and messages through the Platform count as "in writing". Tribe Capital's records are evidence of Orders, acceptance and use, unless the Client proves otherwise.
35.7Electronic acceptance, including ticking a box at checkout or paying after having received these Terms, has the same effect as a handwritten signature.
